1. Agreement to Terms

By accessing or using the website and services provided by Orion Intelligence LLC ("ORION", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

ORION provides AI-powered business automation services including workflow automations, intelligent AI agents, and SaaS integrations designed to help small and mid-sized businesses eliminate manual operational tasks and reduce overhead.

The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate written agreement, statement of work, or proposal accepted by both parties.

3. Eligibility

By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Client Responsibilities

When engaging ORION's services, you agree to:

• Provide accurate and complete information necessary to deliver the agreed services.
• Grant ORION reasonable access to the systems, tools, and credentials required for integration work.
• Review and approve deliverables within the timelines specified in the project agreement.
• Not use our services for any unlawful, abusive, or fraudulent purpose.

5. Payment Terms

Payment terms, amounts, and schedules are specified in the project proposal or service agreement. Unless otherwise agreed in writing:

• Invoices are due within 15 days of issuance.
• Late payments may incur interest at a rate of 1.5% per month.
• ORION reserves the right to pause or terminate services for overdue accounts.

6. Intellectual Property

Your content

You retain ownership of all content, data, and materials you provide to ORION. By sharing such materials, you grant us a limited license to use them solely to deliver the agreed services.

Deliverables

Upon receipt of full payment, ORION transfers to you the rights to custom-built deliverables as specified in the project agreement, unless otherwise stated in writing.

ORION's proprietary assets

Internal tools, frameworks, templates, and methodologies developed by ORION remain our exclusive property. We may reuse these across different client engagements.

7. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, including technical details, strategies, pricing, and client data. This obligation survives the termination of the engagement for a period of two (2) years.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ORION shall not be liable for indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost data, or business interruption — arising out of or related to our services, even if we have been advised of the possibility of such damages.

Our total liability for any claim related to our services shall not exceed the total fees paid by you to ORION in the three (3) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or meet every specific business outcome.

10. Termination

Either party may terminate an engagement with 15 days' written notice. ORION reserves the right to immediately suspend services if you breach these Terms or fail to make payment. Upon termination, all outstanding fees become due immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction in Delaware.

12. Changes to These Terms

We may revise these Terms from time to time. We will provide reasonable notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
